Terms of Service

1. Acceptance of Terms

By accessing or using the FarmGear Hub platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform. These Terms apply to all visitors, users, customers, and partners.

2. Description of Services

FarmGear Hub provides:

• An online marketplace for buying and selling agricultural equipment
• Equipment hire and rental booking services
• Farm service bookings (maintenance, repair, installation)
• Agricultural training and certification programmes
• Expert agricultural consultation services
• Secure escrow payment processing for all transactions
• Partner onboarding, verification, and management tools
• Referral and commission programmes

3. User Accounts

To access most features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share it with others
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Partner Terms

Partners (equipment sellers, hire operators, service providers, trainers, and consultants) agree to:

• Submit accurate and truthful information during the onboarding application
• Cooperate fully with field agent verification visits
• Only list equipment, services, or courses they genuinely offer
• Honour orders and bookings accepted through the Platform
• Maintain the quality standards represented in their application
• Comply with all applicable Nigerian laws and business regulations
• Not engage in fraudulent, deceptive, or misleading practices

Partners who violate these conditions may be suspended or permanently removed from the Platform, and any held escrow funds may be forfeited.

5. Payments and Escrow

All payments on FarmGear Hub are processed through Paystack and held in escrow until the transaction is successfully completed. The following rules apply:

• Payment is collected from the buyer at the time of order confirmation
• Funds are held in escrow until delivery is confirmed or the auto-release window expires
• The auto-release window is 72 hours after delivery confirmation
• FarmGear Hub deducts a platform commission before releasing payment to the partner
• Refunds may be issued in the event of a verified dispute where the partner failed to deliver
• Partners receive payouts in weekly batch cycles

Platform commission rates vary by vertical (equipment sales, hire, service, training, consultation) and are displayed in the partner dashboard.

6. Referral Programme

FarmGear Hub operates a referral programme where registered users can earn commissions by referring customers or partners to the Platform. The following conditions apply:

• Commission is earned only on the referred user's first transaction
• The default commission rate is 10% of the first transaction value
• Self-referrals are not permitted and will result in commission forfeiture
• Fraudulent referrals (fake accounts, duplicate registrations) will result in account termination
• FarmGear Hub reserves the right to modify or discontinue the referral programme

7. Disputes

If a dispute arises between a customer and a partner, either party may raise a dispute through the Platform. FarmGear Hub will investigate the dispute and make a fair determination. During the dispute period, escrow funds will remain held. FarmGear Hub's decision is final in matters relating to platform escrow.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Impersonate any person or entity
• Post false, misleading, or fraudulent content
• Attempt to bypass our security systems or payment escrow
• Conduct transactions off-platform to avoid fees
• Scrape, crawl, or automate access to the Platform without permission
• Upload malware, viruses, or harmful code
• Harass or abuse other users or our staff

9. Intellectual Property

All content on FarmGear Hub, including logos, branding, design, code, and text, is the property of FarmGear Hub or its licensors and is protected by intellectual property laws. Partners retain ownership of the product images and descriptions they upload, but grant FarmGear Hub a non-exclusive licence to display that content on the Platform.

10. Limitation of Liability

FarmGear Hub acts as an intermediary marketplace and is not responsible for the quality, safety, legality, or availability of equipment, services, or training offered by partners. We do not guarantee uninterrupted access to the Platform. To the maximum extent permitted by Nigerian law, FarmGear Hub shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Anambra State, Nigeria.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by email or by displaying a notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
